Goodrich Petroleum is an E&P company with development in the East Texas/North Louisiana Haynesville Shale and South Texas Eagle Ford Shale.
Investment thesis
Investor concern as to Goodrich’s capitalization is the prime culprit for the ~30% pullback in GDP shares the past week. We believe the company’s limited liquidity, while a real issue, is solvable. Further, the Tuscaloosa Marine Shale (TMS) appears to now be completely written off from the market’s perspective, which we think is premature.
Two meaningful liquidity events likely in early ‘13
Under the current capital structure, Goodrich is fully drawn on its current bank line in 3Q/13. Yet, we expect the company to sell at least one-third of its 30,000 net acres in Angela River Trend in early ‘13. Goodrich’s initial Haynesville tests (4,000-5,000′ laterals) in northern Angelina/southern Nacogdoches Counties should recover at least 10 Bcfe per well. The company expresses a high confidence the M&A value of
the acreage is in the neighborhood of $10,000 per acre. Thus, the sell down of Goodrich’s Angela River leasehold should generate at least
$100 million in proceeds, with a minimal production give up. Further, the company anticipates that with their year-end reserve report, which
will reflect the growth in Goodrich’s Eagle Ford oil production, their bank line should increase by $30-40 million.
Realization of these liquidity events materially improves financing visibility
A yield of ~$100 million in proceeds from an Angela River acreage sale and $30-40 million increase in bank borrowing base would collectively
lower year-end ’13 net debt-to-EBITDA from 4x to closer to 3x, while providing liquidity visibly through early ’15 rather than 3Q/13. Thus, the
realization of these highly probable liquidity events would meaningfully improve the company’s financial posture as Goodrich continues to
assess the prospectivity of its significant TMS leasehold.
